Solidworks 2009 SP4

I have a sub-assembly with a single RP (rack and pinion) mate. The mate

works fine in the sub-assembly.

This sub-assembly has two flexible intances in the parent assembly.

Again, each sub-assembly RP mate works fine in the parent assembly

The two sub-assemblies are linked together via a drive shaft. However, when I attempt to create any mates between the two

pinions shafts (i.e. add the drive shaft see red box in pic) SW says the assembly is over-defines and the RP mates won't work.

Any hints?
