No when i close an Assembly but leave solid works open then open another assembly it still has the old assembly open in memory because when i close solidworks completly it ask to save the first assembly i already closed out first. Does this makes sense?

It makes sense. When you close the first assembly you aren't immediately getting a message asking if you want to save it?
I went to Options then External references then selected none on Load referenced documents and the issue went away. Now when i close an assembly it doesn't ask me to save a previously opened and closed assembly. Thanks for your comments.
Are you closing Solidworks entirely? Or are you just closing the assembly?
Make sure that you completely close Solidworks and wait a few seconds before re-opening.
If that isn't working, then try a reboot, although I can't imagine that it would need to be that drastic.

To me Jeremy's question makes the most sense. Do you have an assembly or drawing open where your first assembly is a subassembly within it?
right - drawing or assembly. I keep forgetting sub-assemblies (hardly ever use them here ).
Please explain "it still has the closed assembly in the background". Do you mean you can still the Assembly on your monitor?
